Terms of Use

These terms (the "Agreement") are between you and ESTOPIA ENGINEERING LTD ("we", "us") and cover your use of the Clockmint app for iPhone, iPad, Mac and Apple Watch (the "Licensed Application"), including Clockmint Pro. They form the end user licence agreement for Clockmint. By downloading or using Clockmint, you agree to them.

1. The parties

This Agreement is between you and ESTOPIA ENGINEERING LTD only, not Apple Inc. ("Apple"). ESTOPIA ENGINEERING LTD, not Apple, is solely responsible for the Licensed Application and its content. These terms don't conflict with the Apple Media Services Terms and Conditions, which also apply.

2. Licence

We grant you a non-transferable licence to use Clockmint on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may also be used by other accounts linked to you through Family Sharing, where Apple allows it. You may not copy, reverse-engineer, resell or redistribute the app, except as the law allows.

3. Clockmint Pro and subscriptions

• Clockmint is free to download. Clockmint Pro unlocks extra features and is sold as a monthly subscription, a yearly subscription (paid up front, or monthly over a 12-month commitment where Apple offers it) or a one-off lifetime purchase.
• Prices are shown in the app before you buy and may vary by country.
• Payment is taken by Apple and charged to your Apple Account when you confirm the purchase.
• Subscriptions renew automatically unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• If you choose the yearly plan paid monthly, you agree to all 12 monthly payments. Cancelling stops it renewing after the 12 months; it doesn't end the commitment early.
• If a free trial is offered and you're eligible, any unused part of it ends when you buy a subscription.
• You can manage or cancel subscriptions in your Apple Account settings. Refunds are handled by Apple under its policies at reportaproblem.apple.com.

4. Your data and your responsibilities

Your data is stored on your devices and in your own iCloud account, as explained in our Privacy Policy. You're responsible for:

• the accuracy of the time, rates, invoices and other information you enter or send;
• having the right to store and use your clients' details;
• keeping your own backups, for example with the app's backup feature.

5. Invoices, VAT and the tax estimate aren't advice

Clockmint helps you prepare invoices and gives an estimate of Income Tax, Class 4 National Insurance and VAT registration thresholds. These are tools to help you plan, not tax, legal or financial advice. Tax rules and your circumstances vary, and the estimate may not include everything that applies to you. You're responsible for your own tax returns, VAT treatment and invoices. Check with HMRC or a qualified accountant before relying on any figure.

6. Beta versions

Pre-release versions offered through TestFlight are for testing. They may contain bugs, change or lose features, or stop working, and their data may not carry over to later versions. Back up anything important. Use of TestFlight is also subject to Apple's TestFlight terms. Features that need Clockmint Pro may be free during testing. Purchases made in TestFlight use Apple's sandbox and aren't charged.

7. Maintenance and support

ESTOPIA ENGINEERING LTD is solely responsible for providing maintenance and support for the Licensed Application, as set out in this Agreement or required by law. You and ESTOPIA ENGINEERING LTD acknowledge that Apple has no obligation whatsoever to provide maintenance or support services for the Licensed Application. For help, see our Support page.

8. Warranty

ESTOPIA ENGINEERING LTD is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the Licensed Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be ESTOPIA ENGINEERING LTD's sole responsibility.

Otherwise, and to the extent the law allows, Clockmint is provided "as is". Nothing in these terms affects your statutory rights as a consumer.

9. Product claims

You and ESTOPIA ENGINEERING LTD acknowledge that ESTOPIA ENGINEERING LTD, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of it. These include, but are not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.

10. Intellectual property

If any third party claims that the Licensed Application, or your possession and use of it, infringes that third party's intellectual property rights, ESTOPIA ENGINEERING LTD, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of that claim.

11. Legal compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

12. Third-party terms

When you use Clockmint, you must also comply with any third-party terms that apply to your use of it. These include the terms of your iCloud and Apple Account, your mobile network or internet provider, and any service you use to send invoices or files, such as email.

13. Limitation of liability

To the extent the law allows, we aren't liable for any indirect or consequential loss, or for loss of profits, revenue, data or business opportunity, arising from your use of, or inability to use, Clockmint. That includes reliance on invoices, tax estimates or reminders. Nothing in these terms limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.

14. Ending this Agreement

You can stop using Clockmint at any time by deleting it. We may end your licence if you seriously breach these terms. When that happens, you must stop using the app, but you keep the data stored in your own iCloud account.

15. Changes

We may update these terms, for example when we add features. The date at the top shows the latest version, and significant changes will be mentioned in the app's release notes. If you keep using Clockmint after a change, the updated terms apply.

16. Third-party beneficiary

You and ESTOPIA ENGINEERING LTD acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement. Once you accept its terms and conditions, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

17. Law

This Agreement is governed by the laws of Scotland, and the Scottish courts have jurisdiction. If you're a consumer living elsewhere in the United Kingdom, you may also bring proceedings in the courts where you live, and you keep any protection given by the laws of the country where you live.
